TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you, the User (as defined hereinafter), and Ai Dream Circle Pvt. Ltd, the owner and operator of the brand “BORNBERRY” and of the website https://bornberry.com  (the “Website”). These Terms, together with the Privacy Policy set out in Part A and the Refund, Return and Cancellation Policy set out in Part C, constitute an “electronic record” within the meaning of Section 2(1)(t) of the Information Technology Act, 2000 and are generated by a computer system. This electronic record does not require any physical, electronic or digital signature and is published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

 

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING, BROWSING, REGISTERING WITH, TRANSACTING ON OR OTHERWISE USING THE WEBSITE. BY ACCESSING, BROWSING, REGISTERING WITH, TRANSACTING ON OR OTHERWISE USING THE WEBSITE, YOU SIGNIFY YOUR UNCONDITIONAL AGREEMENT TO BE BOUND BY THESE TERMS, THE PRIVACY POLICY AND THE REFUND, RETURN AND CANCELLATION POLICY, AS MAY BE AMENDED BY THE COMPANY FROM TIME TO TIME. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE WEBSITE.

 

  1.  Definitions

  2. In these Terms, unless the context otherwise requires, the following capitalised terms shall have the meanings respectively assigned to them hereunder:
    1. “Applicable Law” means any and all applicable statutes, enactments, acts, ordinances, rules, regulations, notifications, guidelines, directions and orders of any Governmental Authority in the Republic of India, including without limitation the Indian Contract Act, 1872, the Sale of Goods Act, 1930, the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Consumer Protection (E- Commerce) Rules, 2020, the Food Safety and Standards Act, 2006, the Food Safety and Standards (Health Supplements, Nutraceuticals, Food for Special Dietary Use, Food for Special Medical Purpose, Functional Food and Novel Food) Regulations, 2022 (“Nutraceutical Regulations, 2022”), the Legal Metrology Act, 2009, the Digital Personal Data Protection Act, 2023 and the Drug and Magic Remedies (Objectionable Advertisements) Act, 1954.
  3. “Company”, “we”, “us” or “our” means Obey One Digital Platform, including its affiliates, successors and permitted assigns.
    1. “Content” means any and all material published on or made available through the Website, including text, graphics, images, photographs, audio, video, logos, trademarks, product descriptions, recipes, blog posts, testimonials, user reviews, artwork, software and user interfaces.
      1. “Order” means an order for the purchase of Products placed by a User through the Website in accordance with these Terms.
      2. “Product” or “Products” means nutraceutical (supplements) gummies sold under the brand “BORNBERRY”, including without limitation Shilajit gummies and such other variants as may be offered on the Website from time to time.
      3. “User”, “you” or “your” means any natural person who accesses, browses, registers with, transacts on or otherwise uses the Website.
      4. “Website” means www.bornberry.com and all its sub-domains, mobile- optimised versions and mobile applications, and includes any successor website or platform operated by the Company.

 

  1.  Eligibility to Use the Website

  2. The Website and the Products are intended solely for use by persons who are

(i) eighteen (18) years of age or above; (ii) of sound mind and legally competent to enter into a binding contract under Applicable Law (including the Indian Contract Act, 1872); (iii) not disqualified from contracting by any Applicable Law; and (iv) not residents of any jurisdiction in which the access, offer, sale or consumption of the Products is prohibited.

  1. By accessing or using the Website, you represent, warrant and undertake that you satisfy the eligibility criteria set out in Clause 2.1, and that all information provided by you to the Company is true, correct, accurate, complete, current and up-to-date. You further undertake to keep such information updated and to notify the Company promptly of any change.
    1. The Company reserves the right, at its sole discretion, to refuse access to the Website or to refuse to process any Order placed by you, without assigning any reason therefor, in the event of any doubt regarding your eligibility or the accuracy of the information provided by you.

 

  1.  User Account

  2. In order to place Orders and avail certain Services on the Website, you may be required to create a User account. You shall be solely responsible for maintaining the confidentiality and security of your account credentials (including username, password, one-time passwords and security questions) and for all activities that occur under your account, whether or not such activities are authorised by you.
    1. You undertake to (i) provide accurate, current and complete information during the registration process; (ii) promptly update your account information to maintain accuracy; (iii) not share your account credentials with any third party; (iv) not create multiple accounts without the Company's prior written consent; and (v) promptly notify the Company of any actual or suspected unauthorised access to or use of your account. The Company shall not be liable for any loss, damage or liability arising from your failure to comply with the foregoing.
  3. The Company reserves the right, at its sole and absolute discretion, to refuse registration, suspend or terminate any User account, delete any Content posted by a User, or restrict access to any Service, at any time, without prior notice and without assigning any reason, in the event of any actual or suspected breach of these Terms, unlawful activity, fraud, abuse or violation of Applicable Law.

 

  1.  Products, Description and Availability

  2. The Products are nutraceutical gummies falling within the category of “health supplements” and/or “nutraceuticals” regulated under the Nutraceutical Regulations, 2022. The Products, including Shilajit gummies, are manufactured at the facility of a duly licensed contract manufacturer holding a valid FSSAI manufacturing licence, in accordance with Good Manufacturing Practices and Applicable Law.
    1. The Company endeavours to describe the Products (including their composition, ingredients, dosage, directions for use, flavour, weight, pack size, shelf life and price) as accurately as possible on the Website. However, the Company does not warrant that the Product descriptions, photographs, graphics, colours, packaging or other Content are accurate, complete, error- free or current in every respect. The actual appearance, colour, shape, texture, taste and aroma of the Products may vary slightly on account of variations in raw materials, manufacturing batches, display settings and photographic techniques.
  3. The availability of Products on the Website is subject to change without notice. The Company may, at its sole discretion, add, modify, discontinue or withdraw any Product, variant, pack size or flavour from the Website at any time, without any liability to you.
    1. The display of Products on the Website constitutes an “invitation to offer” and not an “offer” within the meaning of the Indian Contract Act, 1872. The placing of an Order by a User shall constitute an offer by the User to purchase the Products, and a binding contract of sale shall come into existence only upon acceptance of such Order by the Company through dispatch confirmation.

 

  1.  Product Information, Health Disclaimers and Medical Advice

  2. The information provided on the Website in respect of the Products, including ingredients, benefits, directions for use, frequently asked questions, blog posts, testimonials and recommendations, is for general informational purposes only. Such information is NOT intended to constitute medical advice, diagnosis, treatment, prescription or professional opinion of any kind, and should not be relied upon as a substitute for consultation with a qualified medical practitioner, registered dietician, nutritionist or other healthcare professional.
    1. The Products are NUTRACEUTICAL/HEALTH SUPPLEMENTS and are NOT drugs, medicines or pharmaceuticals. The Products are NOT intended to diagnose, treat, cure, mitigate or prevent any disease or medical condition. No claim made in respect of the Products is intended to constitute a “drug” claim within the meaning of the Drugs and Cosmetics Act, 1940 or the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954.

 

  1. Without prejudice to the generality of the foregoing, and as a condition of the sale of the Products, you expressly acknowledge and agree that:
    1. the Products are intended to supplement the ordinary diet of a generally healthy adult and should not be used as a substitute for a varied, balanced diet or a healthy lifestyle;
      1. individual results may vary and no guarantee of any particular outcome, benefit or result is given or implied;
      2. you shall consult with a qualified medical practitioner before consuming any Product if you are pregnant, lactating, a nursing mother, below eighteen (18) years of age, above sixty (60) years of age, taking any medication, suffering from any pre-existing medical condition (including diabetes, hypertension, thyroid disorders, autoimmune disorders, kidney or liver disorders), have any known allergies, or are scheduled for any surgery;
      3. you shall strictly adhere to the recommended daily dosage printed on the pack and shall not exceed the same;
      4. in the event of any adverse reaction, allergic reaction, discomfort or unusual effect, you shall immediately discontinue use of the Product and consult a qualified medical practitioner;
      5. the Products shall be stored in accordance with the instructions on the pack and away from direct sunlight, moisture and the reach of children;
      6. you are responsible for reading the label carefully before consumption and for checking for any ingredient to which you may be allergic or intolerant; and
      7. the Products are to be consumed on or before the expiry date printed on the pack, and the Company shall not be liable for any consequences arising from consumption after the expiry date.

 

  1. The Company, its directors, officers, employees, agents and affiliates expressly disclaim any and all liability, responsibility and obligation in respect of any adverse health effect, allergic reaction, medical condition, personal injury, illness, loss or damage arising out of or in connection with the use, consumption, misuse, overconsumption or discontinuation of any Product, save and except to the extent such liability arises from a proven and wholly attributable manufacturing defect.

 

  1.  Pricing and Payment

  2. All prices of the Products displayed on the Website are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST), unless otherwise specified. Shipping, handling, delivery, cash-on-delivery and convenience charges, where applicable, shall be displayed separately at the time of checkout.
    1. The Company reserves the right, at its sole discretion, to revise, modify, update or change the prices of the Products at any time without prior notice. Such revised prices shall apply to all Orders placed after the effective date of such revision and shall not affect Orders already accepted by the Company.
    2. Notwithstanding the Company's best efforts, certain Products on the Website may, by reason of technical error, typographical error, human error or system malfunction, be incorrectly priced or described. In such circumstances, the Company reserves the right, at its sole discretion, to cancel any Order placed for such incorrectly priced or described Product, even after the Order has been accepted, and to refund any amount paid in respect thereof. The Company shall not be under any obligation to supply the Product at the incorrect price.

 

  1. Payment for Orders placed on the Website may be made through any of the payment methods offered from time to time, including credit card, debit card, net banking, UPI, digital wallets, EMI, buy-now-pay-later and cash-on- delivery (where available). All payment transactions are processed through PCI-DSS compliant third-party payment gateways. The Company does not store your full card details. By using any payment method, you represent and warrant that you are the lawful holder of the payment instrument and have the right and authority to use the same.
    1. The Company shall not be liable for any failure, delay, decline, fraud or unauthorised transaction in respect of any payment made through the Website, where such failure or event is attributable to the payment gateway, your bank, your wallet, your network provider or any other third party. In the event of any such failure, you shall approach the relevant payment service provider or your bank for redressal.
    2. In the event of any cancellation, return or refund, the refund shall be processed in accordance with Part C (Refund, Return and Cancellation Policy).

 

  1.  Orders, Acceptance and Shipping

  2. To place an Order, you shall select the desired Product(s) on the Website, add the same to the shopping cart, provide your delivery address and contact details, select the payment method and submit the Order. Upon submission, the Company shall send an Order acknowledgement by e-mail and/or SMS, which shall constitute mere receipt of the Order and NOT acceptance thereof.
    1. The Order shall be deemed to be accepted by the Company only upon dispatch of the Products from the Company's warehouse or the contract manufacturer's facility, as evidenced by a dispatch confirmation sent by the Company. Until such dispatch, the Company shall be entitled, at its sole discretion, to reject, cancel or modify the Order, in whole or in part, for any reason whatsoever, including without limitation non-availability of the Product, inaccuracies in the Product description or price, inability to verify your details, suspected fraud, delivery-address pin-code not being serviced, breach of these Terms, or force majeure. In the event of such rejection or cancellation, the Company shall refund any amounts paid by you in respect of the cancelled Order.
  3. The Company shall endeavour to deliver the Products to the delivery address specified by you within the estimated delivery timeline displayed on the Website or communicated at the time of checkout. However, such estimated timelines are indicative only and are not binding on the Company. The Company shall not be liable for any delay, non-delivery, loss or damage caused by acts or omissions of the courier partner, logistics provider, pin- code unavailability, incorrect delivery address, recipient being unavailable, force majeure or any other cause beyond the Company's reasonable control.
    1. Risk in the Products shall pass to you upon delivery at the delivery address specified in the Order. Title shall pass upon receipt by the Company of full payment in respect of the Order.
    2. You shall inspect the Products at the time of delivery and, in the event of any external damage, tampering, breakage or missing items, shall decline to accept the delivery and shall promptly notify the Company in writing in accordance with Part C hereof.
    3. The Company does not currently deliver Products outside the Republic of India. Delivery to certain pin codes within India may also be restricted, as displayed on the Website.

 

  1.  User Conduct and Prohibited Uses

  2. As a condition of your use of the Website, you undertake that you shall NOT (and shall not permit any third party to), directly or indirectly:
    1. host, display, upload, modify, publish, transmit, store, update, share or otherwise make available any information, data or Content that (i) belongs to another person and to which you do not have any right; (ii) is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating to or encouraging money-laundering or gambling, or otherwise inconsistent with or contrary to Applicable Law; (iii) is harmful to minors; (iv) infringes any patent, trademark, copyright or other intellectual property right; (v) deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;

      (vi) impersonates another person; (vii) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting to any other nation; (viii) contains software viruses, worms, trojans, spyware, ransomware, rootkits or any other computer code, file or programme designed to interrupt, destroy or limit the functionality of any computer resource; or (ix) is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person;

      1. use the Website or any Service for any purpose that is unlawful, fraudulent, harmful, abusive, disruptive or contrary to these Terms or Applicable Law;


 

  1. use any automated means (including bots, scrapers, crawlers, robots, data-mining tools or similar data-extraction tools) to access, copy, harvest, scrape, index or monitor any portion of the Website or Content, except search-engine crawlers acting in accordance with the robots.txt file;
    1. attempt to gain unauthorised access to any part of the Website, other Users' accounts, servers, computer systems, networks or data of the Company or any third party, or to circumvent, disable or interfere with any security, authentication, access-control or privacy feature of the Website;
      1. probe, scan, test the vulnerability of, or breach the security of, the Website or any network connected thereto;
      2. reverse engineer, decompile, disassemble, decrypt or otherwise attempt to derive the source code of any software, algorithm or database used by or underlying the Website;
      3. resell, sub-licence, re-distribute, frame, mirror, republish or otherwise commercially exploit any part of the Website or Content without the prior written consent of the Company;
      4. use the Website or Products to acquire Products for re-sale in the course of business without the prior written consent of the Company, the Website being intended for bona-fide consumer purchases only;
      5. use any false, misleading or deceptive name, payment method, delivery address or contact details on the Website; or
      6. engage in any conduct that interferes with or disrupts the operation of the Website, imposes an unreasonable or disproportionate load on the Company's infrastructure, or interferes with any other User's enjoyment of the Website.
    2. The Company reserves the right to investigate and prosecute any violation of this Clause 8, including through civil and criminal proceedings, and to cooperate with law enforcement authorities. The Company shall, in accordance with Rule 3(1)(d) of the Intermediary Rules, disable or remove any unlawful Content within thirty-six (36) hours of the receipt of an appropriate order from a Governmental Authority or a competent court.

 

  1.  Intellectual Property Rights

  2. All right, title and interest in and to the Website, the Content, the Brand “BORNBERRY”, all trademarks, service marks, trade-names, trade-dress, logos, artwork, get-up, packaging designs, product photographs, graphics, videos, software, user interfaces, product names, taglines, domain names, audio, videos, text, layouts, code, design elements, and all intellectual property rights subsisting therein, whether registered or unregistered, are and shall at all times remain the sole and exclusive property of the Company or its licensors.
    1. The Company hereby grants you a strictly limited, non-exclusive, non- transferable, non-sub-licensable, revocable licence to access and use the Website solely for your personal, non-commercial use for browsing the Products and placing Orders, in accordance with these Terms. Save as expressly provided herein, no right, title or licence in or to the Website or any Content is granted to you, whether by implication, estoppel or otherwise.
    2. You shall not (and shall not permit any third party to) copy, reproduce, distribute, republish, transmit, display, perform, modify, translate, adapt, create derivative works from, sell, licence, lease, rent, frame, mirror, reverse-engineer, decompile or disassemble, any part of the Website or Content, without the express prior written consent of the Company.
    3. The trademarks, logos, brand names and service marks displayed on the Website that do not belong to the Company are the property of their respective owners and are used on the Website with their permission or under fair use.
  3. If you post any reviews, comments, photographs, suggestions, testimonials, ideas or other materials on the Website (collectively, “User Content”), you hereby grant to the Company a perpetual, irrevocable, royalty-free, worldwide, non-exclusive, transferable and sub-licensable right and licence to use, reproduce, modify, adapt, publish, translate, distribute, display and exploit such User Content in any and all media for any lawful business purpose of the Company, including for marketing, promotional, advertising and training purposes, and to exercise all intellectual property rights in relation thereto, without any compensation or attribution to you. You represent and warrant that you have all necessary rights to grant such licence and that the User Content does not infringe any third-party rights, is not unlawful, and complies with Clause 8 hereof.

 

  1.  Disclaimer of Warranties

  2. The Website, the Content and the Services are provided on an “AS IS” and “AS AVAILABLE” basis, without any representation, warranty, condition or guarantee of any kind, whether express, implied, statutory or otherwise. To the maximum extent permitted by Applicable Law, the Company expressly disclaims all representations, warranties, conditions and terms (whether express, implied, statutory or otherwise) including without limitation any warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, timeliness, security, uninterrupted availability or freedom from errors or viruses.
    1. Without limiting the generality of the foregoing, the Company does not warrant that (i) the Website will be uninterrupted, timely, secure, virus-free or error-free; (ii) the results obtained from the use of the Website or the Products will meet your expectations or requirements; (iii) any information or Content on the Website is accurate, complete, reliable or up-to-date; (iv) any error or defect in the Website or Services will be corrected; or (v) the Website or its servers are free of harmful components.
  3. You acknowledge and agree that your use of the Website and purchase of the Products is at your sole risk, and that you are responsible for evaluating the suitability of the Products for your own needs, taking into account your own health condition, medical history and professional medical advice.

 

  1.  Limitation of Liability

  2. To the maximum extent permitted by Applicable Law, in no event shall the Company, its directors, officers, employees, consultants, agents, affiliates, licensors or service providers be liable to you or any third party for any indirect, incidental, consequential, special, punitive, exemplary, aggravated or enhanced damages, or for any loss of profit, loss of revenue, loss of business, loss of goodwill, loss of data, loss of opportunity, loss of anticipated savings or loss of reputation, howsoever arising, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if the Company has been advised of the possibility of such damages.
    1. Without prejudice to the foregoing, the total aggregate liability of the Company, its directors, officers, employees, agents and affiliates, arising out of or in connection with these Terms, the use of the Website, or the purchase or consumption of the Products, from all claims, demands, causes of action, Losses and liabilities whatsoever, whether in contract, tort, statute or otherwise, shall not exceed an amount equal to the total value of the Order(s) placed by you in the ninety (90) days immediately preceding the event giving rise to the claim, or Indian Rupees Ten Thousand (₹10,000), whichever is lower.
  3. Nothing in these Terms shall exclude or limit any liability that cannot, by Applicable Law, be excluded or limited, including liability for death or personal injury caused by the Company's proven negligence, liability for fraud, or any statutory liability under the Consumer Protection Act, 2019 that cannot be contracted out of.

     

  4.  Indemnity

  5. You agree to defend, indemnify and hold harmless the Company, its directors, officers, employees, consultants, agents, affiliates, licensors and service providers (the “Indemnified Parties”) from and against any and all claims, demands, suits, actions, proceedings, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees and costs) arising out of or in connection with (i) your breach of these Terms, the Privacy Policy or the Refund Policy; (ii) your violation of any Applicable Law or the rights of any third party; (iii) any Content uploaded, posted or transmitted by you through the Website; (iv) your misuse of the Website, the Products or the Services; (v) any false or misleading information provided by you; and (vi) any claim that your use of the Website or the Products has caused damage to any third party.
    1. The Company reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you shall cooperate with the Company in asserting any available defences.

 

  1.  Third-Party Links and Services

  2. The Website may contain links to third-party websites, advertisements, services, products, content, applications and platforms that are not owned, operated or controlled by the Company (“Third-Party Services”). Such links are provided solely for your convenience and the inclusion of any such link does not imply endorsement, recommendation or sponsorship by the Company of such Third-Party Services.
    1. The Company has no control over, and assumes no responsibility for, the content, privacy practices, security, terms of use or practices of any Third- Party Services. Your access to and use of Third-Party Services is at your sole risk, and you shall be governed solely by the terms of use and privacy policies of such Third-Party Services.

 

  1.  Termination

  2. The Company reserves the right, at its sole and absolute discretion, to suspend, restrict or terminate your access to the Website, your User account and/or the Services, in whole or in part, at any time, without prior notice and without any liability to you, for any reason whatsoever, including without limitation (i) any breach or suspected breach of these Terms; (ii) any violation of Applicable Law; (iii) any actual or suspected fraudulent, abusive or illegal activity; (iv) any risk to the safety, security or integrity of the Website, the Company, its Users or the public; or (v) any regulatory, commercial or business reason.
    1. Upon termination, your right to access and use the Website shall immediately cease. The Clauses which, by their nature, are intended to survive termination shall survive, including Clauses 9 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnity), 15 (Governing Law) and 17 (Miscellaneous).

 

  1.  Governing Law, Jurisdiction and Dispute Resolution

  2. These Terms, the Privacy Policy and the Refund Policy shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles.
    1. Any dispute, controversy, difference or claim arising out of or in connection with these Terms, the Privacy Policy, the Refund Policy, the Website, the Services or the Products, or the breach, termination, validity or interpretation thereof (“Dispute”), shall first be attempted to be resolved amicably by the Parties through good-faith negotiations. If the Dispute is not so resolved within a period of thirty (30) days, the Dispute shall be finally and exclusively resolved by arbitration conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by the Company. The seat and venue of the arbitration shall be Mumbai, India. The language of the arbitration shall be English. The arbitral award shall be final and binding on the Parties.
  3. Subject to Clause 15.2, the courts at Mumbai shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms, and you hereby irrevocably submit to such jurisdiction. Notwithstanding the foregoing, the Company shall be entitled, at all times, to seek urgent, interim and injunctive relief from any competent court to protect its intellectual property, confidential information and legitimate business interests.
    1. In accordance with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, you shall also be entitled to pursue grievance-redressal remedies through the Grievance Officer appointed by the Company under Clause 16 hereof and through the Consumer Helpline and Consumer Commissions in accordance with law.

 

  1.  Grievance Officer

  2. In compliance with Section 79 of the Information Technology Act, 2000 read with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and Rule 4(5) of the Consumer Protection (E-Commerce) Rules, 2020, the Company has designated a Grievance Officer for the purpose of receiving and addressing grievances of Users in respect of the Website, the Content, the Products, the Services and these Terms.   1. Any User who has any grievance, complaint or concern in respect of the Website, the Content, the Products or the Services may communicate the same in writing to the Grievance Officer. The Grievance Officer shall acknowledge receipt of the grievance within forty-eight (48) hours of receipt, and shall endeavour to redress the grievance within a period of fifteen (15) days from the date of receipt, or such other period as may be prescribed under Applicable Law.
    1. If the grievance relates to unlawful Content falling within the categories set out in Rule 3(1)(b) of the Intermediary Rules, the Company shall take all reasonable efforts to disable access to such Content within thirty-six (36) hours of receipt of a court order or order from an authorised Governmental Authority.

 

  1.  Force Majeure

  2. The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms, or for any loss or damage arising therefrom, to the extent such failure or delay is caused by any event beyond the Company's reasonable control, including without limitation acts of God, earthquake, flood, storm, fire, epidemic, pandemic, war, terrorism, civil unrest, riot, strike, lockout, labour dispute, governmental action, change in law, suspension of internet services, failure of telecommunications infrastructure, power failure, cyber-attack, denial-of-service attack and supply-chain disruption (each a “Force Majeure Event”). During the continuation of a Force Majeure Event, the Company's affected obligations shall be suspended without liability.

 

 

  1.  Amendment of Terms

The Company reserves the right, at its sole and absolute discretion, to amend, modify, supplement, replace or update these Terms, the Privacy Policy and the Refund Policy, in whole or in part, at any time, without any prior notice to you. The revised Terms shall be published on the Website and shall become effective upon such publication. Your continued use of the Website after such publication shall constitute your acceptance of the revised Terms. You are advised to review these Terms periodically to remain informed of any such changes.

All notices, communications and other intimations to the Company under these Terms shall be sent in writing, in the English language, to the Grievance Officer at the address set out in Clause 16, with copy by e-Mail. All notices by the Company to you may be sent to the e-mail address, postal address, telephone number or WhatsApp number registered by you on the Website, and such notices shall be deemed to have been duly served upon transmission or dispatch, as the case may be.

 

  1.  Miscellaneous

Severability. If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be severed from these Terms to the extent of such invalidity, illegality or unenforceability, without affecting the validity, legality and enforceability of the remaining provisions.
    1. No Waiver. No failure or delay on the part of the Company in exercising any right, power or privilege under these Terms shall operate as a waiver thereof, and no single or partial exercise of any such right, power or privilege shall preclude any other or further exercise thereof.
    2. Assignment. You shall not assign, transfer, novate or delegate your rights or obligations under these Terms without the prior written consent of the Company. The Company shall be entitled to assign, transfer or novate its rights and obligations under these Terms at any time, without your consent.
    3. Relationship. Nothing in these Terms shall create any partnership, joint venture, agency, franchise, sales representative, employer-employee or similar relationship between you and the Company.
    4. Entire Agreement. These Terms (together with the Privacy Policy and the Refund Policy) constitute the entire agreement between you and the Company in respect of the use of the Website and the purchase of the Products, and supersede all prior and contemporaneous agreements, understandings, communications and representations in relation thereto.
  3. No Third-Party Beneficiaries. These Terms are for the sole benefit of the Parties and their respective successors and permitted assigns, and nothing herein shall confer any rights on any third party.
    1. Headings. The headings and sub-headings in these Terms are for convenience of reference only and shall not affect the construction or interpretation hereof.
    2. Language. These Terms have been prepared in the English language, which shall be the governing language for all purposes.
    3. Electronic Record. These Terms, the Privacy Policy and the Refund Policy are electronic records within the meaning of the Information Technology Act, 2000, and do not require any physical or digital signature.
